Subject:	Acquisition of Busy Bees Childcare Vouchers Limited

Computershare Limited (ASX:CPU) has today agreed principal terms for the acquisition of Busy Bees Childcare Vouchers Limited (BBCV), one of the leading UK based managers and administrators of childcare voucher schemes; with an expected completion date of 1st of September 2008.

The consideration will be based on an enterprise value of GBP 90 million. The acquisition is expected to be EPS positive in FY09 and increasingly accretive thereafter.

BBCV deals with over 12,000 organisations, providing around 100,000 working parents with childcare vouchers each month. Computershare is acquiring the business from ABC Learning Limited, the ASX listed childcare operator.

BBCV’s integrated use of technology, document generation and handling, record keeping and cash administration is an excellent fit with our skills and infrastructure.”

The integration of BBCV with Computershare’s business will be managed by Penny Maclagan, who led the highly successful integration of the Equiserve acquisition. Long term, BBCV will be part of the UK Business Services Division, joining The Deposit Protection Service, HM Treasury (Gilts), NHS Membership Services and Electoral Management Services.
