ABC announces sale of UK voucher business
A.B.C. Learning Centres Limited (“ABC”) has today agreed the principal terms for the sale of Busy Bees Childcare Vouchers Limited, its UK voucher business, for GBP90 million to Computershare Limited, the ASX listed provider of share registry and related services.
Eddy Groves, ABC’s CEO, said: “The sale price reflects the strong growth of the voucher business since our 2006 acquisition and will be a positive outcome for shareholders. Completion of this transaction will allow management to increase the focus on the Australian/New Zealand childcare business. The opportunities for improvement in this key market are significant.”
Proceeds from the transaction will be used to reduce debt under the Company’s syndicated bank facility agreement. It is anticipated that the profit from the sale will be in line with previous guidance (Note 1). The transaction is expected to close on or before 1 September 2008.
The Company has previously advised that it is also considering selling its UK nurseries business as well as its UK property assets. The sale process for these assets is ongoing.

Note 1.
Our preliminary calculations indicate an estimated capital gain (before costs) of $100 million on disposal of the vouchers business. This is based on an exchange rate of £0.46 and excludes all anticipated costs of disposal (including investment bank advisory fees, legal, accounting, other professional fees and employee transitional costs).
