Appointment of Non-Executive Director

Cogstate Ltd (ASX:CGS), a global leader in clinical trial endpoint data quality and digital cognitive assessments, today announces the appointment of Mr. Darryl Inns as a Non-Executive Director, effective 01 May 2026.

Mr. Inns is an experienced former ASX-listed company Chief Financial Officer with more than 30 years' experience in finance, accounting and executive leadership, including over 20 years as CFO of ASX200 companies. He has held senior roles at Uniti Group Limited (ASX: UWL), Vocus Limited (ASX: VOC), iSelect Limited (ASX: ISU) and M2 Group Limited (formerly ASX: MTU), where he played a key role in driving growth, executing complex M&A, and leading capital management programs and capital raisings.

Commenting on the appointment, Cogstate Chair, Martyn Myer AO, said, "Cogstate has entered the next phase in its development, characterised by a more mature operational and financial profile and an expanding global footprint. Darryl's deep financial acumen, public markets experience and track record in capital management will be invaluable as we continue to execute our strategy and focus on sustainable long-term value creation for shareholders. His appointment also forms an important part of our ongoing Board renewal program and ensures we maintain a balanced mix of skills aligned to Cogstate's future needs."

Mr. Inns replaces Mr. Richard van den Broek, who stepped down from the Board in May 2025 as part of the Company's planned Board succession and renewal program. His appointment brings to the Cogstate Board a depth of financial, capital markets and investor relations expertise, adding further depth and strength to the Board.

Mr. Inns has extensive experience in governance, risk and compliance, including reporting to and engaging with Audit & Risk Committees. He is a Fellow of CPA Australia, and a Graduate of the Australian Institute of Company Directors.

Mr. Inns will join Cogstate's Audit, Risk & Compliance Committee, replacing Mr. Richard Mohs who will step down from this committee. Mr. Inns will also join the Nomination Committee.

Cogstate has implemented several Board Committee changes to further enhance independence and governance. From 01 January 2026, Mr. Martyn Myer has stepped down from both the Audit, Risk & Compliance Committee (Chaired by Ms. Ingrid Player) and the Remuneration Committee (Chaired by Ms. Kim Wenn).
