Cleansing Notice – Section 708A (5)(e) of the Corporations Act 2001

Codefai Limited (ASX:CDE) gives this notice pursuant to Section 708A(5)(e) of the Corporations Act in relation to the issue of 56,258,291 shares (ASX: CDE) as set out in two Appendix 2A’s dated 31 December 2025.

The Company issued 53,634,270 shares (ASX: CDE) to parties outlined in the EGM notice for the meeting held on 8 December 2025 and approved by shareholders in resolutions 3,4,9, 11 and 12, and a further 2,624,021 shares to a lender without disclosure, under Part 6D.2 of the Corporations Act.

The Company, as at the date of this notice, has complied with:

(a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

(b) section 674 and section 674A of the Corporations Act 2021 (Cth) .

As at the date of this notice, there is no information to be disclosed that is “excluded information” within the meaning of section 708A(7) and 708A (8) of the Corporations Act.

This announcement has been approved by the Company Secretary.
