QUANTUM ACQUISITION DUE DILIGENCE NEARING COMPLETION
TECHNICAL DUE DILIGENCE ON ANTENNA TRANSFER (QuantumAI Secure) IS IN FINAL STAGES, WITH ACQUISITION TO BE FINALISED WHEN COMPLETED
Codeifai Limited (ASX: CDE) a growing disruptor in the AI, quantum-computing, and QR code space, is pleased to provide the following update on the proposed acquisition of the Antenna Transfer platform (to be rebranded QuantumAI Secure ) from Credissential Inc (“Credissential”), originally announced on 1 July 2025.
Codeifai is in the final stages of completing its comprehensive technical due diligence in respect of the Antenna Transfer acquisition and expects to satisfy all remaining conditions and finalise the acquisition in the near term following satisfaction.
Background on Antenna Transfer (QuantumAI Secure)
Antenna Transfer is a proprietary, self-service, quantum-secure communications and data transfer platform built on advanced post-quantum cryptographic techniques that are designed to be resistant to both classical and future quantum computing-driven cyber threats. The platform enables highly secure:

Quantum-secured encrypted end-to-end communications

Quantum-secured encrypted file transfers
All functionality is delivered via an AI-backed Software-as-a-Service (SaaS) offering, with QR code integration and broad applicability across industries with stringent security requirements including fintech, healthcare, legal, government and enterprise data services.
Once acquired by Codeifai, the platform will be rebranded to “QuantumAI Secure” and integrated into the Company’s secure-transfer AI and digital engagement ecosystem, with full QR Code functionality.

Codeifai has been steadily progressing its legal and technical due diligence into the Antenna Transfer platform to ensure optimal integration and commercialisation pathways. The assessment has not identified any material issues to date, and the Company is working collaboratively with Credissential to finalise the process and be in a position to announce completion of the acquisition when complete.
Strategic Platform Adoption Agreements
Antenna Transfer has successfully secured significant commercial validation since the proposed acquisition was initially announced. In July 2025, Antenna entered into an exclusive licence and platform agreement with Geometric Energy Corporation (GEC), an aerospace and technology company, for deployment of the platform across GEC’s space operation activities including satellite communications and data security, with a minimum committed spend of USD$1.5 million under the arrangement[1] .
In addition, the platform has engaged with a NATO-approved defence procurement partner, Effective Acceleration Ventures Limited (EAV), under an exclusive defence sector arrangement, anticipated to further broaden market reach and commercial pipeline.[2 ]
Appointment of Nvidia, OpenAI, Google, WhatsApp and Binance Experts to Codeifai[4]
On 3 July 2025, Codeifai announced the formation of a Strategic Advisory Panel to provide guidance on the integration, growth and global scaling of the QuantumAI Secure platform and related strategic initiatives. The panel comprises seasoned technology experts with experience across leading global tech companies including OpenAI, Google, WhatsApp and Binance , bringing deep commercialisation and technical expertise in AI research, fintech, blockchain and secure communications. Their participation reflects strong external validation of the significant market opportunity represented by quantum-secure infrastructure solutions.
Additionally, on 23 July 2025 Codeifai announced the appointment of Dr Rafael Possas, a former AI and Machine Learning specialist at NVIDIA Corporation , as a member of the panel. Dr Possas, who holds a Ph.D in Machine Learning and Robotics, brings extensive experience in applied AI, cloud-based machine learning solutions and robotics systems, including contributions to leading AI platforms. His appointment is expected to significantly support Codeifai’s strategic focus on AI and quantum security and accelerate commercialisation of the QuantumAI Secure platform into broader markets.
Platform Feature Development
Codeifai announced planned enhancements to the Antenna Transfer platform, including SecureVault Auto-Destruct file lifecycle controls and Apple Wallet-enabled QR code payment capabilities, designed to broaden functionality and serve heightened enterprise and regulatory demands. These enhancements are expected to be completed postacquisition.[3 ]

The Company anticipates that these new developments will integrate with Antenna’s existing post-quantum cryptographic security protocols, offering users selectable autodeletion timeframes, confirmation protocols, and payment options to ensure data is permanently removed from all system components following successful transfer completion while enabling fast, secure payment processing.
Development of Auto-Destruct is and scan-to pay QR code are currently planned to go into the development phase, with full implementation expected to be completed following the acquisition of Antenna by Codeifai Limited and development cycle.

The integration of Antenna Transfer with Codeifai brings together two complementary platforms to create enhanced transactional security, reduce operational risk to potentially millions of businesses and individuals, and promotes a seamless end user experience. By acquiring Antenna Transfer, Codeifai will have an extremely unique and innovative product offering, paving the way for next-generation financial infrastructure.
The Board reiterates its confidence in the strategic benefits of the Antenna Transfer acquisition, which is expected to accelerate Codeifai’s transition into high-margin, scalable quantum-secure SaaS solutions with a strong Artificial Intelligence (AI) overlay to enhance its data transfer offerings. Codeifai looks forward to providing a further update following completion of due diligence and finalisation of the transaction.
