
Advisory Agreement Regarding the Process of Obtaining an Exploitation Concession

The Board of Directors of Coal Energy S.A. (the "Company") hereby informs that on September 25, 2025, its subsidiary Advanced Industrial Technologies Sp. z o.o. signed an agreement with Kancelaria Juris Sp. z o.o., headquartered in Warsaw. The agreement defines the scope of cooperation covering legal support throughout the process aimed at obtaining an exploitation concession for the Bobrek-Miechowice deposit or part thereof, in the available seams at level 400.
The parties agreed that the first stage of the work, which will last until 14 November 2025, includes:
a) Collection of geological information related to level 400 of the Bobrek-Miechowice deposit, including Bobrek-Miechowice-1 and Bobrek-Miechowice-2
b) Determination of geological, hydrogeological, gas, and tectonic conditions of the rock mass;
c) Assessment of the formal status of access workings and shaft statuses;
d) Identification of risks based on previously recognized rock mass conditions in the potential deposit location;
e) Preliminary assessment of environmental, natural, water, and gas conditions, as well as protection of historical monuments and municipal infrastructure;
f) Analysis of development policies and positions of local governments of three
municipalities: the City of Bytom, the City of Ruda Śląska, and the City of Zabrze;
g) Review of land-use planning regulations, local spatial development plans, progress of new general plans, and development strategies;
h) Review of the status of reclamation decisions and their implementation.
Upon obtaining the above information, the Company, in cooperation with the advisor, will undertake further steps related to the concession application process, taking into account recommendations for preparing the investment project.
The Management Board of the Company has decided to publish the above information as inside information due to its significance in the implementation of the strategic stages outlined in Current Report No. 21/2025.
