PRESS RELEASE PURSUANT TO ART. 17 OF THE EURONEXT GROWTH MILAN ISSUER REGULATION
CLOUDIA RESEARCH: SUBSTANTIVE CHANGE
Milan, 18 june 2024. Cloudia Research S.p.A., an Innovative SME active in the field of digital transformation with a specialized offering in ERP (Enterprise Resource Planning), Cloud and AI ("Cloudia Research" or the "Company"), listed on Euronext Growth Milan ("EGM"), announces that today it has received communication from the controlling shareholder Angelo Merafina – owner of a stake of a total of no. 2.137.000 ordinary shares and no. 112.500 multiple voting shares, equal to 51,66% of the share capital, as well as 60.08% of the voting rights that can be exercised at Cloudia Research's shareholders' meeting - of the intervening transfer to Finaime S.r.l., of which Marcantonio Angelo Merafina is the only shareholder, of the entire stake held by him in Cloudia Research.
It should be noted that the transfer operation was completed today, and that Marcantonio Angelo Merafina therefore will continue to exercise control over the Company through Finaime S.r.l.
Following this change, the shareholders who hold a stake of at least 5% (so-called "significant shareholders") in the Company are the following:
