Subject:Conclusion of a loan agreement with PKO BP S.A.
The Management Board of Cl Games SE with its registered office in Warsaw(the "Company") hereby informs that on 10 April 2024 the Companyconcluded with Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjnawith its registered office in Warsaw a multi-purpose credit limitagreement for a maximum amount of PLN 15,000,000 (hereinafter:_quot;Agreement_quot;, _quot;Loan_quot;). The Loan was granted for the period from 10 April2024 to 9 April 2025 in PLN or EUR according to the Company's Loanpayment instruction.
The Loan is secured by:
(i) blank promissory note of the Company together with a promissory notedeclaration,
(ii) guarantee for repayment of the Loan granted by Bank GospodarstwaKrajowego under the de minimis portfolio guarantee line.
The provisions of the Agreement do not deviate from market conditionsfor this type of agreement.
