How to Vote
You may vote by attending the Meetings in person or by proxy or a body corporate can appoint a corporate representative.
Voting In Person
To vote in person, you must attend the Meetings on Thursday, 17 June 2010 at The Hilton Hotel, Room 3, Level 2, 488 George Street, Sydney. The Meetings will commence at 2.30pm. Please allow at least 15 minutes for registration.
Voting By Proxy
To vote by proxy, please complete and sign the relevant proxy form enclosed with this Notice of Meetings as soon as possible so that it is received no later than 2:30pm (AEST) on Tuesday, 15 June 2010 and either:

NOTICE is hereby given that the Extraordinary General Meeting of Shareholders of Charter Hall Limited and an Extraordinary General Meeting of the Unitholders of Charter Hall Property Trust will be held at The Hilton Hotel, Room 3, Level 2, 488 George Street, Sydney NSW 2000 at 2:30pm on Thursday, 17 June 2010.

As explained in the 'Voting exclusion' paragraphs below, certain Securityholders are excluded from voting in relation to particular resolutions and Charter Hall Group must disregard votes cast by those Securityholders. If your vote must be disregarded or if you must not vote as outlined in the paragraphs below, please do not vote.
The business of the Meetings is to consider, and if thought fit, pass, with or without modification, the resolutions described below:
Resolutions 1–2:
Ratification of the Macquarie Placement and the Institutional Placement
To consider, and if thought fit, pass the following ordinary resolutions:

Voting Exclusion Statement
Charter Hall Group will disregard any votes cast:

on Resolution 1, by Macquarie Group (and any associate of Macquarie Group); and

on Resolution 2, by any person (and any associate of such person) who participated in the Institutional Placement (including as underwriter or sub-underwriter of the Institutional Placement).
Unless the vote is cast by a person as proxy for a person who is entitled to vote, in accordance with the directions of the proxy form or unless the vote is cast by the person chairing the Meetings as proxy for a person who is entitled to vote, in accordance with a direction on the proxy form to vote as the proxy decides.
A detailed explanation of the background and reasons for the proposed resolutions are set out in the attached Explanatory Memorandum.

Voting Entitlements
Pursuant to regulation 7.11.37 of the Corporations Regulations 2001, the directors of CHL and CHFML have determined that the holding of each Securityholder for the purposes of ascertaining the voting entitlements for the Meetings will be as it appears in the Register at 7:00pm (AEST) on Tuesday, 15 June 2010.
Voting and Proxies
A Securityholder is entitled to appoint a proxy to attend and vote on behalf of the Securityholder at the Meetings. A proxy need not be a Securityholder of Charter Hall Group.
Securityholders wishing to appoint the Chairman of the Meetings as their proxy should read carefully the instructions on the Proxy Form and mark the relevant box to ensure their votes are not disregarded.
A Securityholder entitled to cast two or more votes at the Meetings may appoint two proxies and specify the proportion or number of votes each proxy is appointed to exercise. If the Securityholder appoints two proxies and does not specify the proportion or number of votes each proxy may exercise, then each proxy may exercise half of the votes.
A Proxy Form is attached to this Notice of Meetings. To be valid:

Proxy Forms must be received at the office of Link Market Services Limited or at the registered office of Charter Hall Group being the place designated by Charter Hall Group for that purpose or at the facsimile number of Link Market Services Limited or Charter Hall Group by no later than 2:30pm (AEST) on Tuesday, 15 June 2010.

The authority under which any form appointing a proxy is signed or a certified copy of that authority, must be received at the office or facsimile number of Link Market Services Limited or Charter Hall Group by no later than 2:30pm (AEST) on Tuesday, 15 June 2010.

In order to vote at the Meetings, a corporation which is a Securityholder may appoint an individual to act as its representative. The appointment must comply with the requirements of sections 250D and 253B of the Corporations Act. The representative should bring to the Meetings evidence of their appointment, including any authority to under which it is signed.

Explanatory Memorandum
This Explanatory Memorandum and the attachments to it are important documents. They should be read carefully. Resolutions 1 and 2: Ratification of the Macquarie Placement and the Institutional Placement
Background
On 12 February 2010, Charter Hall Group announced to the ASX that it had agreed to acquire the majority of Macquarie Group's core real estate management platform, including co-investment stakes in three of the funds managed by the platform, for approximately $315 million.
The acquisition was, in part, funded by the Macquarie Placement, the Institutional Placement and the Entitlement Offer.

The Macquarie Placement involved the placement of 121,272,558 Stapled Securities to Macquarie Group at $0.70 per Stapled Security as part consideration for the acquisition. These Stapled Securities were issued on 1 March 2010.

The Institutional Placement involved the placement of 35,624,778 Stapled Securities to certain eligible sophisticated and institutional investors, including the Gandel Group, at $0.70 per Stapled Security. These Stapled Securities were issued on 1 March 2010.
The purpose of these resolutions is to seek approval to refresh the 15% issuance capacity under the Listing Rules.
This will allow Charter Hall Group to retain flexibility in relation to the amount of capital that can be raised during the following 12 months. Additionally, Charter Hall Group intends to issue 6,446,500 options and 2,578,500 performance rights under Charter Hall Group's employee incentive scheme (the Performance Rights and Options Plan) to selected former Macquarie Group executives now employed by Charter Hall Group following its recent acquisition of the majority of Macquarie Group’s core real estate management platform.
Approvals
Listing Rule 7.1 provides that an entity must not, without the approval of Securityholders, issue during any 12 month period any equity securities or other securities with rights of conversion to equity (i.e. options and performance rights) if the number of such securities exceeds 15% of the aggregate of the number of securities in the same class on issue at the commencement of that 12 month period plus the number of securities issued in that 12 month period with Securityholder approval or that rely on an exception, provided under Listing Rule 7.2, to the 15% limit.
Listing Rule 7.4 allows Securityholders to ratify the issues of the Stapled Securities issued under the Macquarie Placement and the Institutional Placement so that the issues would not be counted in determining whether any further issues of Stapled Securities would breach the 15% limit under Listing Rule 7.1.
Recommendation
The Board recommends that Securityholders vote in favour of Resolutions 1 and 2.
