Charter Hall Group (ASX:CHC) – Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by:

• Charter Hall Limited (ACN 113 531 150) (the Company ); and

• Charter Hall Funds Management Limited (ACN 082 991 786) as responsible entity of Charter Hall Property Trust (ARSN 113 339 147) (the Trust ),

• (together, CHC ) under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) (the Act

CHC advises that:

• (a) today CHC has issued 50,182,482 fully paid ordinary stapled securities in CHC (each comprising one share in the Company and one unit in the Trust) at a price of $5.48 per stapled security (the Issued Securities) to institutional investors under a placement the results of which were announced to the ASX on 1 May 2017;

• (b) the Issued Securities were issued without disclosure to investors under Part 6D.2 of the Act and without a Product Disclosure Statement for the Issued Securities being prepared;

• (c) this notice is being given under sections 708A(5)(e) and 1012DA(5)(e) of the Act;

• (d) as a disclosing entity, CHC is subject to regular reporting and disclosure obligations;

• (e) as at the date of this notice, CHC has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to CHC; and

  • (ii) section 674 of the Act as it applies to CHC; and

  • (iii) as at the date of this notice there is no "excluded information" within the meaning of sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Act.
