Charter Hall Group (ASX:CHC) – Cleansing Statement

This notice is given by Charter Hall Group formed by stapling shares in Charter Hall Limited (ABN 57 113 531 150) and units in the Charter Hall Property Trust (ARSN 113 339 147) ( CHC ) under section 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Act ):

CHC advises that:

• (a) today CHC has issued 47,071,130 fully paid ordinary units in CHC at a price of $4.78 per unit ( Issued Securities ) to institutional investors under a placement the results of which were announced to the ASX on 21 May 2015;

• (b) the Issued Securities were issued without disclosure to investors under Part 7 of the Act and without a Product Disclosure Statement for the Issued Securities being prepared;

• (c) this notice is being given under section 1012DA(5)(e) of the Act;

• (d) as a disclosing entity, CHC is subject to regular reporting and disclosure obligations;

• (e) as at the date of this notice, CHC has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to CHC; and

  • (ii) section 674 of the Act as it applies to CHC; and
