Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by:

• Charter Hall Funds Management Limited (ACN 082 991 786) (the RE) as responsible entity of the Charter Hall Property Trust (ARSN 113 339 147) (the Trust); and

• Charter Hall Limited (ACN 113 531 150) (the Company),

(together, the Charter Hall Group) under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) (the Act).

Charter Hall Group advises that:

• a) today it issued 8,888,065 stapled securities each comprising one share in the Company and one unit in the Trust (Placement Securities) to Alphabridge Pty Ltd ATF The Alphabridge Trust (which is part of the Gandel Group), as foreshadowed in the investor presentation and announcement released to the ASX on 27 May 2009 and the announcement released to the ASX on 26 June 2009;

• b) the Placement Securities were issued without disclosure to investors under Part 6D.2 of the Act and without a Product Disclosure Statement for the Placement Securities being prepared;

• c) this notice is being given under sections 708A(5)(e) and 1012DA(5)(e) of the Act;

• d) as a disclosing entity, the RE (as the issuer of units in the Trust) is subject to regular reporting and disclosure obligations;

• e) as at the date of this notice, the Charter Hall Group has complied with:

  • I. the provisions of Chapter 2M of the Act as they apply to the Charter Hall Group; and

  • II. section 674 of the Act as it applies to the Charter Hall Group; and

• f) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Act.
