The issuer is solely responsible for the content of this announcement. ——————————————————————————– CeoTronics AG: Capital Increase / Founder Shareholders take over for the most part / Finance of Further Company Growth The Management and the Supervisory Board of CeoTronics AG Audio – Video – Data Communication (WKN 540740) decided on May 2, 2001 to make partially use of the authorization according to paragraph 7 No. 4 of its by-laws. According to this decision CeoTronics Share Capital increased from EUR 3,000,000.00 by an amount of EUR 299,997.00 to EUR 3,299,997.00 by issuing 99,999 new shares with EUR 3.00 per share against cash in a private placement. The new shares are entitled to participate fully in CeoTronics dividends since June 1, 2001. The shareholders subscription rights have been excluded. The shares of this capital increase have been placed with known investors and with the founder shareholders at a price of EUR 10.00 per share. The proceeds of this capital increase will be used for financing CeoTronics growth. After the above mentioned capital increase there still remains an authorized capital of EUR 1,140,003.00 until November 10, 2004.
