CELLULARLINE S.p.A.: MANCATA APERTURA DEL PERIODO DI ESERCIZIO DEI WARRANT

Reggio Emilia, 4 dicembre 2020 - Cellularline S.p.A. ("Cellularline" o la "Società") comunica che il prezzo medio mensile delle azioni ordinarie Cellularline (ISIN IT0005244618) relativo al mese di novembre 2020, è stato pari a Euro 4,2516 (fonte Bloomberg, prezzo medio mensile calcolato come media aritmetica dei prezzi ufficiali, ponderati per i volumi, delle azioni ordinarie Cellularline negoziate sul Mercato Telematico Azionario, Segmento STAR, nei giorni di borsa aperta nel mese di novembre 2020).

Tenuto conto che il prezzo medio mensile delle Azioni Ordinarie Cellularline è inferiore al prezzo strike, pari a Euro 9,50, i Warrant non sono esercitabili nel corso del mese di dicembre 2020 nel rispetto di quanto previsto dall'art. 3, paragrafo 1 del Regolamento dei Warrant Cellularline.

Si ricorda che, ove il prezzo medio mensile delle Azioni Ordinarie Cellularline riferibile al mese di dicembre 2020 dovesse essere superiore al prezzo strike, i Warrant saranno esercitabili nel mese di gennaio 2021 sulla base del rapporto di esercizio che sarà comunicato ai sensi di quanto previsto dal Regolamento dei Warrant Cellularline.

CELLULARLINE S.p.A.: NON-OPENING WARRANT EXERCISE PERIOD

Reggio Emilia, 4 December 2020 - Cellularline S.p.A. ("Cellularline" or the "Company") announces that the average monthly price of ordinary Cellularline shares (ISIN IT0005244618) relating to November 2020, was equal to Euro 4.2516 (source: Bloomberg, average monthly price calculated as the arithmetic mean of official prices, weighted by volumes, of ordinary Cellularline shares traded on Mercato Telematico Azionario - STAR Segment in the open stock market days in November 2020).

Taking into account that the average monthly price of ordinary Cellularline shares is below the strike price, at Euro 9.50, the Warrants cannot be exercised in December 2020 in observance of the provisions of art. 3, paragraph 1, of the Cellularline Warrants Regulation.

It should be noted that, where the average monthly price of ordinary Cellularline shares relating to December 2020 should be higher than the strike price, the Warrants can be exercised in January 2021 based on the exercise ratio which will be communicated in accordance with the provisions of the Cellularline Warrants Regulation.
