CELLULARLINE S.p.A.: NEW BOARD OF DIRECTORS TAKES OFFICE
- Christian Aleotti confirmed as Deputy Chairman and CEO and appointed General Manager
- Marco Cagnetta Operational delegations in continuity
- Donatella Busso, Paola Vezzani and Alessandra Bianchi, Walter Alba and Laura Elena Cinquini, are the Independent Directors.

Reggio Emilia, 05 May 2023 - The Board of Directors of Cellularline S.p.A. (hereinafter "Cellularline" or the "Company" or the "Group"), a European leader in smartphone and tablet accessories listed on the Euronext STAR Milan, chaired by Antonio Luigi Tazartes, met yesterday for the first time after being appointed by the Shareholders' Meeting last 28 April.

The new Board of Directors appointed by the Shareholders' Meeting, which will remain in office for three financial years, is composed of 10 directors, of whom 4 members taken from the minority list: • Antonio Luigi Tazartes (Chairman) • Christian Aleotti • Marco Cagnetta • Donatella Busso • Paola Vezzani • Davide Danieli • Marco Di Lorenzo • Alessandra Bianchi • Walter Alba • Laura Elena Cinquini.
The Board confirmed Christian Aleotti as Deputy Chairman and Chief Executive Officer of the company, also appointing him as General Manager, as well as conferring Marco Cagnetta operating powers in full continuity in the management of the business.
On the basis of the declarations rendered by the interested parties and the information available to the Company, the Board of Directors determined that the 5 directors Donatella Busso, Paola Vezzani, Alessandra Bianchi, Walter Alba and Laura Elena Cinquini met the independence requirements established by the Consolidated Finance Act and the Corporate Governance Code.
During the meeting of the Board of Directors, the Board of Auditors verified the correct application of the criteria and procedures adopted by the Board of Directors to assess the independence of its members. The Board of Directors acknowledged the assessments made by the Board of Auditors with regard to the independence of the members of the Board of Directors.

The members of the committees will remain in office until the end of their term of office, i.e. until the Shareholders' Meeting for the approval of the financial statements for the year ending 31 December 2025.

Donatella Busso: full professor of Business Administration at the University of Turin, she provides professional consultancy and training on financial statements (national and international accounting standards, annual and consolidated), non-financial reporting (sustainability reporting), and other corporate issues (including financial instruments and governance) and holds positions of administration and control in listed and unlisted companies.
Paola Vezzani: full professor of Economics of Financial Intermediaries at the University of Modena and Reggio Emilia, Department of Communication and Economics. She has held various positions on boards of directors and committees of listed and unlisted companies.
Alessandra Bianchi: professional with a degree in Business Administration and significant expertise in the investment area gained in more than 20 years of experience in roles of increasing responsibility in various companies, including as a board member and CEO
Walter Alba: professional with significant experience as Statutory Auditor and Auditor of several companies, as well as in the administration and corporate affairs area.
Laura Elena Cinquini: lawyer, experienced in assisting Italian and foreign multinationals, leading institutional investors, as well as Italian (also listed) and foreign industrial operators in the field of corporate acquisitions and extraordinary corporate transactions in general, as well as in the subsequent ongoing consultancy and company secretarial activities.
