NOMINA AD INTERIM DEL DIRIGENTE PREPOSTO ALLA REDAZIONE DEI DOCUMENTI CONTABILI E SOCIETARI E DELL'INVESTOR RELATOR

Reggio Emilia, 23 dicembre 2020 - Il Consiglio di Amministrazione di Cellularline S.p.A. ("Cellularline" o "Società"), riunitosi in data odierna, ha deliberato, con il parere favorevole del Collegio Sindacale, la nomina ad interim di Christian Aleotti, Co-CEO del Gruppo Cellularline, quale Dirigente Preposto alla redazione dei documenti contabili e societari ("Dirigente Preposto") ai sensi e per gli effetti dell'art. 154-bis del D.lgs. 24 febbraio 1998, n. 58 ("TUF") e dell'art. 15 dello Statuto Sociale, con efficacia sino alla nomina del nuovo Dirigente Preposto, tenuto conto che è tuttora in corso di svolgimento il processo di selezione del soggetto che andrà a sostituire Stefano Cerrato, che ha rassegnato le dimissioni dalla carica di Chief Corporate e Financial Officer, Investor Relator e Dirigente Preposto in data 30 novembre 2020, con efficacia a decorrere dal 31 dicembre 2020 (per maggiori informazioni si rinvia al comunicato pubblicato in data 30 novembre 2020).

Il Consiglio di Amministrazione, inoltre, ha nominato Marco Cagnetta, Co-CEO del Gruppo Cellularline, quale Investor Relator ad interim.

Le nomine di Christian Aleotti quale Dirigente Preposto ad interim e di Marco Cagnetta quale Investor Relator ad interim decorreranno dalla data di efficacia delle dimissioni di Stefano Cerrato, e pertanto dal 1° gennaio 2021. La Società, inoltre, conferma che sono in corso le attività di selezione della figura candidata a sostituire Stefano Cerrato, il cui nominativo verrà reso noto al mercato nei termini di legge.

Christian Aleotti detiene, sulla base delle informazioni a disposizione della Società, n.1.725.006 azioni ordinarie della Società, pari al 7,86% del Capitale sociale ordinario. Marco Cagnetta detiene, sulla base delle informazioni a disposizione della Società, n.259.000 azioni ordinarie della Società, pari al 1,20% del Capitale sociale ordinario.

INTERIM APPOINTMENT OF THE MANAGER RESPONSIBLE FOR PREPARING THE COMPANY'S FINANCIAL REPORTS AND OF THE INVESTOR RELATOR

Reggio Emilia, 23 December 2020 – The Board of Directors of Cellularline S.p.A. ("Cellularline" o "Società"), which met today, resolved, with the favourable opinion of the Board of Statutory Auditors, the interim appointment of Christian Aleotti, Co-CEO of the Cellularline Group, as Manager responsible for preparing the company's financial reports and documents, ("Manager in charge") pursuant to and by effect of art. 154-bis of the Legislative Decree February 24, 1998, n. 58 (hereinafter the "TUF") and art. 15 of the Articles of Association, taking into account that the selection process of the person who will replace Stefano Cerrato, who resigned from the position of Chief Corporate and Financial Officer, Investor Relator and Manager in charge on 30 November 2020 with effect from 31 December 2020 (for more information, see the press release published on 30 November 2020) .

The Board of Directors has also appointed Marco Cagnetta, Co-CEO of the Cellularline Group, as interim Investor Relator.

The appointments of Christian Aleotti as interim Manager in charge and of Marco Cagnetta as interim Investor Relator will start from the effective date of the resignation of Stefano Cerrato, and therefore from 1 January 2021. The Company also confirms that the selection activities of the candidate to replace Stefano Cerrato, whose name will be disclosed to the market in accordance with the law.

Christian Aleotti holds, on the basis of the information available to the Company, 1,725,006 ordinary shares of the Company, equal to 7.86% of the ordinary share capital. Marco Cagnetta holds, on the basis of the information available to the Company, 259,000 ordinary shares of the Company, equal to 1.20% of the ordinary share capital.
