CELLULARLINE S.p.A.: DIMISSIONI DI UN CONSIGLIERE DI AMMINISTRAZIONE
Reggio Emilia, 5 settembre 2019 – Cellularline S.p.A. ("Cellularline" o "Società") rende noto che il Consigliere Andrea Francesco Enrico Ottaviano ha comunicato, in data 4 settembre 2019 e con decorrenza dal 13 settembre 2019, le proprie dimissioni, non specificandone le motivazioni, dalla carica di componente non esecutivo del Consiglio di Amministrazione.
Si precisa che il Consigliere dimissionario non era componente dei comitati costituiti in seno al Consiglio di Amministrazione e non ha diritto ad indennità o altri benefici conseguenti la cessazione della carica. Alla data odierna, il Consigliere, per quanto a conoscenza della Società, non detiene alcuna partecipazione nel capitale sociale della Società.
La Società esprime, a nome del Consiglio di Amministrazione e del Collegio Sindacale, un ringraziamento al Consigliere Ottaviano per l'attività svolta a favore della Società.
Il Consiglio di Amministrazione provvederà alla nomina di un nuovo Consigliere nel corso di una prossima riunione consiliare.

CELLULARLINE S.p.A: BOARD DIRECTOR RESIGNS
Reggio Emilia, 5 September 2019 - Cellularline S.p.A. ("Cellularline" or the "Company") announces that Andrea Francesco Enrico Ottaviano, Company's Non-Executive Director, on 4 September 2019, has resigned from his mandate, without any specific reason, with effect from 13 September 2019.
The resigning director was not part of the committees established within the Board of Directors and has no right to indemnities or other benefits resulting from the termination of his office. As of today, Andrea Francesco Enrico Ottaviano, to the best of the Company's knowledge, does not hold any interest in the Company's share capital.
On behalf of the Board of Directors and the Board of Statutory Auditors, the Company thanks Andrea Francesco Enrico Ottaviano for his work.
The Board of Directors will appoint a new Board Member at a forthcoming Board meeting.
