2017年面向合格投资者公开发行公司债券（第一期） 票面利率公告

发行人董事会及全体董事保证本公告内容不存在任何虚假记载、误导性陈述 或者重大遗漏，并对其内容的真实性、准确性和完整性承担个别及连带责任。

经中国证券监督管理委员会证监许可[2017]540 号文核准，中能电气股份有 限公司（以下简称“中能电气”或“发行人”）获准向合格投资者公开发行不超 过人民币 3 亿元公司债券。本次债券分期发行，其中本期债券发行规模不超过 3.00 亿元人民币（含），其中基础发行规模为 1.50 亿元（含），可超额配售不超 过 1.50 亿元（含）。

2017 年 6 月 27 日 13:00—15:00，发行人和主承销商长城证券股份有限公司、 安信证券股份有限公司在网下向合格投资者进行了票面利率询价。根据询价结果， 经发行人和主承销商充分协商和审慎判断，最终确定本期债券票面利率为 6.20%。

发行人将按上述票面利率于 2017 年 6 月 28 日至 2017 年 6 月 29 日面向合格 投资者网下发行。具体认购方法请参考 2017 年 6 月 26 日刊登在《证券时报》及 深圳证券交易所（ http://www.szse.cn ）及巨潮资讯网（http://www.cninfo.com.cn） 上的《中能电气股份有限公司 2017 年面向合格投资者公开发行公司债券（第一 期）发行公告》。
