Notice of 2020 General Shareholders Meeting

Chunghwa Chemical Synthesis & Biotech Co., Ltd. (the “Company”) will hold its 2020 General Shareholders Meeting(the “Meeting”) at 9:00 am on Friday, May 29, 2020 at Room 401, NTUH International Convention Center, 4[th] Floor, No. 2, Xuzhou Road, Zhongzheng District, Taipei City. Attending shareholders may check in at the abovementioned venue at 8:30 am of the meeting date.

A. Meeting Agenda:

• (I) Reporting matters:

  1. The 2019 Business Report.

  2. Audit committee’s review report on the 2019 financial results.

  3. Report on the 2019 employees’ compensation and remuneration to directors.

  4. Other reports.

• (II) Acknowledgments:

  1. 2019 Business Report and Financial Statements.

  2. Distribution of 2019 earnings.

• (III) Discussions:

Partial amendments to the “Rules of Procedure for Shareholders Meetings”.

(IV) Extempore Motions

B. Proposal for distribution of 2019 earnings:

The total amount of earnings distributed to shareholders is NT$62,048,000 Each common share holder will be entitled to receive a cash dividend of NT$0.8 per share. After obtaining shareholders’ approval, the record date will be resolved and decided by the Board of Directors. It is also proposed that the Board of Directors be authorized to administer any changes to this distribution, due to objective or subjective regulatory factors or as required by the competent authority.

• C. Pursuant to Article 165 of the Company Act, transfer of shares shall be suspended during the period from March 31, 2020 to May 29, 2020.

• D. Shareholders may exercise their voting rights through the “StockVote” platform of Taiwan Depository & Clearing Corporation during the period from April 29, 2020 to May 26, 2020 in accordance with the relevant instructions. (Website: www.stockvote.com.tw)
