1. Agreement on the Transfer of the Economic Unit of Bakery Operations – concluded between the Issuer (as the transferring company) and ZAGREBAČKE PEKARNE KLARA Inc., Zagreb, Utinjska ulica 48, PIN: 76842508189, MBS: 080015097, as the acquiring company.

The Commercial Court in Zagreb, under case no. Tt-25/56255-2, issued a Decision by which, inter alia, the transfer of the economic unit of bakery operations from the Issuer to ZAGREBAČKE PEKARNE KLARA Inc. was entered into the court register, through the status change of demerger with acquisition.

1. Agreement on Demerger and Acquisition – concluded between NewMip Ltd., Sisak, Ulica kralja Zvonimira 24, PIN: 22916544397, MBS: 081489068 (the company being demerged) and ZAGREBAČKE PEKARNE KLARA Inc., whereby the business unit of bakery operations was separated from NewMip Ltd. and acquired by ZAGREBAČKE PEKARNE KLARA Inc. as the acquiring company.

Agreement on Merger – concluded between PREHRANA TRGOVINA Inc., Zagreb, Utinjska ulica 48, PIN: 04402117922, MBS: 080109254 (the merging company) and TRGOVINA KRK Inc., Malinska, Dubašljanska 80, PIN: 66548420466, MBS: 040046840, as the acquiring company. The Commercial Court in Rijeka, under case no. Tt-25/11192-7, issued a Decision by which, inter alia, the merger

of PREHRANA TRGOVINA Inc. into TRGOVINA KRK Inc. as the acquiring company was entered into the court register.
