The issuer Čakovečki mlinovi Inc., Čakovec, Mlinska ulica 1, PIN: 20262622069, previously published information regarding the conclusion of the Demerger and Acquisition Agreement.

The agreement was concluded on 22 May 2025 between the company NewMip Ltd., Sisak, Ulica kralja Zvonimira 24, PIN: 22916544397, registered with the Commercial Court in Zagreb, company reg. no. (MBS): 081489068 (the demerging company), and the Issuer as the acquiring company.

The notification on the conclusion of the agreement was published on 22 May 2025.

In accordance with the provisions of the Capital Market Act and the Rules of the Zagreb Stock Exchange, the Issuer hereby informs the investment public that, as of 1 July 2025, the Commercial Court in Varaždin, as the court of the Issuer's registered seat, issued Decision ref. no. Tt-25/6334-2. With this decision, the demerger of the company NewMip Ltd. through a status-related change – demerger by acquisition – was registered in the court register. On 30 June 2025, the said demerger of NewMip Ltd. was registered with the Commercial Court in Zagreb, as the competent court according to the registered seat of the demerging company, by Decision ref. no. Tt-25/49612-2.
