Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we would like to inform that, the Securities and Exchange Board of India (“SEBI”) vide its Letter No. SEBI/HO/MRD/RAC2/P/OW/2024/4321/1 dated January 30, 2024, had approved the appointment of Shri Nandkumar Saravade as Public Interest Director (PID) on the Board of the Company for a period of three (3) years, subject to fulfilment of other conditions as prescribed by SEBI.

In view of the above, the Board of Directors has appointed Shri Nandkumar Saravade as PID on the Board of Company w.e.f. February 7, 2024, for a period of three (3) years.

Disclosure as per SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, is enclosed as Annexure I.

BRIEF PROFILE

Shri Nandkumar Saravade holds a bachelor’s degree in engineering from Government College of Engineering, Aurangabad and a master’s degree from Indian Institute of Technology Bombay.

He commenced his career in 1987 as an officer in the Indian Police Service, and served for 21 years. As an IPS officer, he worked in the Central Bureau of Investigation for seven years looking after enforcement of the Prevention of Corruption Act, investigation of bank frauds and economic offences.

He was on secondment to National Association of Software and Service Companies (NASSCOM), as Director, Cyber Security and Compliance.

In 2008, he took voluntary retirement from the Indian Police Service (IPS) and joined the private sector and worked as General Manager, in ICICI Bank, Director in Citibank and Advisor to Ernst & Young. He took over as CEO, Data Security Council of India in July 2015.

He held the position of Chief Executive Officer at Reserve Bank Information Technology Pvt Ltd from June 2016 to May 2021

Currently, he has been working as a Strategy Advisor in various organizations, with a focus on security, ethics, innovation, and compliance and is a regular speaker at apex training institutes technical conferences and industry forums.
