This is to inform that the Board of Directors of the Company at its meeting held on Tuesday, June 2, 2026 (i.e. today), inter-alia, considered and approved the following:
- Appointment of Shri Gopalan S. Raghavan (DIN: 01307378) as Executive Director for Vertical 2:
In continuation to our intimation dated April 30, 2026, and May 25, 2026, the Board of Directors have approved the appointment of Shri Gopalan S. Raghavan (DIN: 01307378), as the Executive Director – Regulatory, Compliance, Risk Management and Investor Grievance (Vertical-2) with effect from June 18, 2026, until attaining the age of Sixty-Five (65) years, subject to ratification by the Shareholders.
Disclosure as per SEBI Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is enclosed as Annexure I.
- Submission of names for the post of Executive Director for Vertical 3:
In accordance with the Securities Contracts (Regulation) (Stock Exchanges and Clearing Corporations) Regulations, 2018 ("SECC Regulations"), the names for the post of Executive Director for Vertical 3 have been shortlisted and are being recommended to the Securities and Exchange Board of India for its approval.
- Resignation of Ms. Kamala Kantharaj from the position of Chief Regulatory Officer:
Ms. Kamala Kantharaj, vide email dated May 29, 2026, submitted her resignation from the position of Chief Regulatory Officer (Compliance Officer under the SECC Regulations) and the same has been accepted in accordance with the applicable SEBI Circular read with Nomination and Remuneration Policy of the Company.

Further, Ms. Kamala Kantharaj has been redesignated as Chief - Special Duty (Key Management Personnel and Senior Management) with effect from June 5, 2026, and she will continue to report to the Managing Director & Chief Executive Officer till the closure of working hours on her last working day i.e. August 26, 2026.
Disclosure as per SEBI Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is enclosed as Annexure I. A copy of the resignation email is enclosed as Annexure III.
- Appointment of Ms. Geetha Gangadharan as a Chief Regulatory Officer:
Ms. Geetha Gangadharan has been appointed as Chief Regulatory Officer (Compliance Officer under SECC Regulations), designated as Key Management Personnel and Senior Management, with effect from June 5, 2026, until attaining the age of Sixty (60) years.
Disclosure as per SEBI Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is enclosed as Annexure I.
The above matters have been duly approved by the Board of Directors at their meeting which commenced at 15:45 hours and concluded at 16:45 hours.

Brief Profile of Shri Gopalan S. Raghavan
Shri Gopalan Srinivasa Raghavan is an accomplished and highly respected senior finance and capital market leader with over 30 years of experience in shaping, governing, and transforming critical Market Infrastructure Institutions (MIIs) across securities depositories, stock exchanges, clearing corporations, investment banking, institutional broking, mutual funds, and capital-market regulatory bodies. Proven track record in driving market development, regulatory innovation, digital transformation, governance excellence, risk management, and operational scale.
He is recognised for leading the development of foundational MIIs, architecting technology-enabled financial ecosystems, strengthening enterprise governance and compliance frameworks, and enabling sustainable business growth. Instrumental in the evolution of India's capital markets through key contributions to regulatory policy, market modernization, and institution building.
He is a Fellow Member of the Institute of Chartered Accountants of India (ICAI) and an Associate Member of the Institute of Company Secretaries of India (ICSI) with a bachelor's degree in Corporate Secretaryship from the University of Madras.
He has previously served as Executive Director (and Interim Managing Director) at National Securities Depository Limited, where he led key strategic initiatives across business, operations, technology, finance, and regulatory functions apart from his pivotal role in the IPO of NSDL.
He has also held leadership roles at CLSA India, RCML, Credit Market Services Limited, and OTC Exchange of India. It is with deep gratitude and immense contentment of having contributed to BSE at its crucial stage of transformation, I hereby submit my resignation to the position of Chief Regulatory Officer. Please take this communication as formal notice of my resignation. This decision has been taken due to purely personal reasons.

Brief profile of Ms. Geetha Gangadharan
Ms. Geetha Gangadharan (Geetha. G) is a legal professional with over 30 years of experience in regulatory enforcement, policy advocacy & implementation, and litigation management across securities markets, banking, and financial sector regulations.
She holds LL.M. and LL.B. degrees from the University of Calicut and has completed international regulatory programs at institutions including Harvard Law School, Indian Law Institute, and International Law Institute.
She has served as Chief General Manager and Head of Enforcement Department at the Securities and Exchange Board of India, where she led enforcement functions, handled high-stake litigations, and issued quasi-judicial orders. She has also worked with the Reserve Bank of India and served as Head of Enforcement at the Central Bank of the UAE, Abu Dhabi.
