CHANGE IN THE BOARD OF DIRECTORS

Shareholders are advised that due to family commitments, Michael Dabrowski has resigned from the Board of Directors of Brait ("Board") with effect from 5 March 2026.

The Board extends its appreciation to Mr Dabrowski for his contribution during his tenure as an Independent Non-executive Director since 18 May 2021, which included membership on the Board's ESG committee. The Board would like to extend its welcome to Peter Egan, who has been appointed as an Independent Non-executive Director and a member of the ESG committee with effect from 5 March 2026.

Mr Egan resides in Mauritius and serves as Partner and Head of the Corporate & Fund Services division of Stonehage Fleming's Mauritius entity, a role he assumed following his relocation from Luxembourg in 2024. Since joining Stonehage Fleming in 2008, he has held senior positions across Jersey and Luxembourg and currently sits on the board of Stonehage Fleming Corporate Services Luxembourg S.A. With more than 25 years of experience in the finance industry, Mr Egan acts as a non-executive director for several private companies. He is a Fellow Chartered Certified Accountant and holds a BSc in Banking and Finance, a Postgraduate Diploma in Legal Practice, and is a member of the Society of Trust and Estate Practitioners (STEP).
