SECTION 708A(5)(E) NOTICE - ISSUE OF SECURITIES WITHOUT A DISCLOSURE DOCUMENT

BPH Energy Limited (“BPH”) gives the following notice under section 708A(5)(e) of the Corporations Act 2001 (”Act”):

1. On 18th December 2020 BPH issued a total of 16,133,333 fully paid ordinary shares and 8,066,667 free attaching listed share options with an exercise price of $0.015 per share and an expiry date of 29 July 2022 (together the “Securities”).

2. BPH issued the Securities without disclosure to investors in accordance with Part 6D.2 of the Act;

3. as at the date of this notice, BPH has complied with:

• the provisions of Chapter 2M of the Act as they apply to the Company; and

• section 674 of the Act;

1. as at the date of this notice, there is no information which is “excluded information” within the meaning of section 708A(7) of the Act.
