Dear Investor,
Initial Public Offer – Close of Offer and Refund of Application Monies
The Board of Directors of Cortical Dynamics Ltd (“ Cortical ” or “ Company ”) wishes to advise that the Company’s initial public offer (made pursuant to the prospectus dated 2 June 2011) (“ IPO ”), will be closed undersubscribed at 5:00pm (WST) on Monday, 18 June 2012.
In accordance with Cortical’s 4[th] Supplementary Prospectus dated 19 March 2012, Cortical’s securities were required to be admitted to Official Quotation on ASX by no later than 18 June 2012 (or such longer period as varied by ASIC).
Cortical has not raised the minimum subscription under the IPO and is therefore unable to meet the conditions required for Official Quotation on ASX.
In accordance with the requirements of the Corporations Act, the Company will not issue any securities and will repay all application monies received under the IPO, without interest.
The Directors of Cortical would like to thank all applicants for their support during the period of the offer.
