Announcement Content	The disclosure regarding the merger of Borusan Holding A.Ş. with
	Borusan İstikbal Ticaret Türk A.Ş. through acquisition

As of 28 June 2024, Borusan Holding A.Ş. ("Borusan Holding") has acquired Borusan İstikbal Ticaret Türk A.Ş. ("Borusan İstikbal"), in which Borusan Holding A.Ş. has 100% shareholding, through a merger and thus Borusan İstikbal has been dissolved. In this context, 28,82% of the direct shares of Borusan Yatırım ve Pazarlama A.Ş. ("Borusan Yatırım") in the portfolio of Borusan İstikbal have also been included in the assets of Borusan Holding.

As a result of this merger by acquisition, Borusan Holding's direct shares and voting rights in Borusan Yatırım increased from 35.31% to 64.13% as of 28.06.2024 and there has been no change of management control of Borusan Yatırım.
