Borregaard: Stock options exercised, repurchase of own shares

03.05.2019: Borregaard ASA ("Borregaard", OSE ticker: BRG)

On 3 May 2019 the following primary insiders exercised Borregaard stock options:

Per A. Sørlie, President and CEO, exercised 60,000 Borregaard stock options at a

strike price of NOK 38.75 per share. In a related transaction, Borregaard

repurchased 50,797 own shares from Mr. Sørlie at an average price of NOK 90.60

per share. As a result of these transactions, Per A. Sørlie has increased his

share ownership by 9,203 shares to 157,649 shares, and he holds 240,000 options

in Borregaard.

Per Bjarne Lyngstad, Chief Financial Officer, exercised 30,000 stock options at

a strike price of NOK 38.75 per share. In a related transaction, Borregaard

repurchased 30,000 own shares from Mr. Lyngstad at an average price of NOK

90.60 per share. After the transaction, Per Bjarne Lyngstad owns 56,052 shares

and holds 87,000 options in Borregaard.

Morten Harlem, Executive Vice President, Performance Chemicals, exercised

40,000 options in Borregaard shares at a strike price of NOK 38.75 per share. In

a related transaction, Borregaard repurchased 40,000 own shares from Mr. Harlem

at an average price of NOK 90.60 per share. After the transaction, Morten Harlem

owns 48,415 shares and holds 126,000 options in Borregaard.

Dag Arthur Aasbø, Senior Vice President Organisation and Public Affairs,

exercised 25,000 stock options at a strike price of NOK 38.75 per share. In a

related transaction, Borregaard repurchased 23,000 own shares from Mr. Aasbø at

an average price of NOK 90.60 per share. As a result of this transaction, Dag

Arthur Aasbø has increased his share ownership by 2,000 shares to 50,552 and he

holds 70,000 options in Borregaard.

Tuva Barnholt, Vice President of Purchasing and Strategic Sourcing, exercised

25,000 stock options at a strike price of NOK 38.75 per share. In a related

transaction, Borregaard repurchased 25,000 own shares from Ms. Barnholt at an

average price of NOK 90.60 per share. After the transaction, Tuva Barnholt owns

31,624 shares and holds 70,000 options in Borregaard.

Borregaard's repurchase of own shares as described above was conducted in

accordance with the proxy given at the Ordinary General Meeting held on 11 April

2019. Following these transactions the total number of outstanding Borregaard

stock options is 1,732,000. Borregaard owns 394,793 treasury shares,

representing 0.39% of the total number of shares outstanding.
