RESIGNATION OF MS. ALESSANDRA BARONCIANI FROM THE POSITION OF DIRECTOR
Pesaro, April 30, 2026
Biesse S.p.A. (the "Company") hereby announces that Ms. Alessandra Baronciani, non-executive director, has resigned from her position as a member of the Company's Board of Directors (the "Office"), due to intervening personal reasons.
The resignation from the Office will be effective as of today's date (the "Termination Date").
The Company further announces that, in accordance with the Remuneration Policy, Ms. Baronciani will be entitled to the pro-rata portion of the fixed remuneration for members of the Board of Directors, as determined by the Board of Directors based on the total fees set by the Shareholders' Meeting of April 29, 2024, accrued up to the Termination Date.
No severance pay or other benefits will be granted as a result of the termination of her office.
Based on the communications made to the Company, Ms. Baronciani does not hold any shares in the Company as of today's date.
The Chairman, together with the Board of Directors, wishes to thank Ms. Alessandra Baronciani for her commitment and the valuable contribution provided during her tenure.
The Company's Board of Directors will proceed with the co-option of a new director at an upcoming meeting.
