Annual General Meeting on Thursday 27 April 2017

Kortrijk, Belgium, 27 April 2017 – Barco held its Annual General Meeting on 27 April 2017 in Kortrijk, Belgium. Shareholders approved all agenda items. Details of the voting results will be available on www.barco.com/en/Investors

We make reference to the agenda as shared in the convening of the annual general meeting and more specifically the topics regarding dividend and composition of the Board of Directors.

Dividend

Following the proposal of the Board of Directors the General Meeting approved the gross dividend over 2016 at 1 euro and 90 eurocents (€ 1.90) per fully paid up share.

• Ex-Dividend Trading date: Tuesday 9 May 2017
• Record date: Wednesday 10 May 2017
• Payment date: Thursday 11 May 2017

Composition board of directors

The number of directors has been maintained at ten (10) directors and the General Meeting has taken note of the resignation of Mr. Eric Van Zele and the wish of ADP Vision BVBA, permanently represented by Mr. Antoon De Proft, not be re-appointed.

• The General Meeting has decided to appoint Mr. Jan De Witte as director for a period of three (3) years that ends at the closing of the ordinary general meeting of 2020.
• The General Meeting has decided to re-appoint Adisys Corporation, permanently represented by Mr. Ashok Jain as director for a period of three (3) years that ends at the closing of the ordinary general meeting of 2020.
• The General Meeting has decided to re-appoint as independent director Mr. Frank Donck as director for a period of three (3) years that ends at the closing of the ordinary general meeting of 2020.
• The General meeting has decided to appoint Mrs. An Steegen as independent director of the board for a period of three (3) years that ends at the closing of the ordinary general meeting of 2020.

Mrs. An Steegen is Executive Vice President Semiconductor Technology & Systems at imec, a world leading semiconductor R&D center in Leuven, Belgium. She is responsible for the development of state-of-the-art semiconductor technology for the next generation technology solutions. Dr. Steegen is a recognized authority in the area of nano-scaled electronics and an acclaimed speaker at the industry's prominent semiconductor conferences and events. She started her career as R&D director at IBM, New York. Dr. Steegen holds a Ph.D in Material Science from the KU Leuven and she is responsible for more than 100 publications and patents.
