Banca Ifis: effectiveness of the resolution to transfer the registered office of La Scogliera S.p.A. to the Canton of Vaud (Lausanne - CH)

Banca Ifis keeps its presence in Italy unchanged

Mestre (Venice), 27 December 2021 - Following the press release of 18 June 2021, Banca Ifis acknowledges the declarations made today by the Bank's controlling shareholder, La Scogliera S.p.A., which holds 50.5% of Banca Ifis's share capital, regarding effectiveness, as from today's date and following the waiver of certain suspensory conditions, of the resolution to transfer the registered office of La Scogliera to the Canton of Vaud (Lausanne - CH), approved by the Shareholders' Meeting of the controlling shareholder last June.

The transfer is expected to be completed by the end of January 2022.

"The transfer of La Scogliera S.p.A.'s registered office is due to the Chairman's personal reasons and to keep the promise made in April 2019 to find an alternative transaction, having the same prudential effects, to the reverse merger of La Scogliera S.p.A. in Banca Ifis S.p.A.," said the Vice Chairman of Banca Ifis, Ernesto Fürstenberg Fassio "Today we are another step ahead in this direction, aware of the benefits that can be achieved by the Banca Ifis Group, consistent with the long-term growth focus of the controlling shareholder".

Upon presentation of the 2022-2024 Business Plan, scheduled for February 2022, Banca Ifis' CEO, Frederik Geertman, will communicate the net benefits of this transaction and the expected consequences.

Following the transfer of La Scogliera's registered office, the economic burden of the Bank is included in the guidance introduced to the market on November 4, 2021.
