THIS IS AN ENGLISH COURTESY TRANSLATION OF THE NOTICE PURSUANT TO ARTICLE 41, PARAGRAPH 2, LETTER A), OF THE REGULATION ADOPTED BY THE COMMISSIONE NAZIONALE PER LE SOCIETA' E LA BORSA (CONSOB) WITH RESOLUTION N. 11971 OF 1999, AS SUBSEQUENTLY AMENDED AND SUPPLEMENTED, PROVIDED SOLELY FOR INFORMATION PURPOSES AND, AS SUCH, SHALL NOT BE RELIED UPON BY ANY RECIPIENT. Commitments to accept the voluntary tender offer launched by Banca Generali S.p.A. on the entire share capital of Intermonte Partners SIM S.p.A.

Milan, 24 September 2024 – with reference to the decision taken by Banca Generali S.p.A. (the "Offeror") pursuant to art. 102, paragraph 1 of Legislative Decree n. 58 of 1998 (as subsequently amended and supplemented), to launch a voluntary tender offer on all of the ordinary shares of Intermonte Partners SIM S.p.A. currently in circulation (the "Issuer") (the "Offer"), we give notice of the following.

In addition to the commitments to accept the Offer received from some of the Issuer's shareholders, all managers of the Issuer, on 15 September 2024 – as already communicated to the market on 16 September 2024 – and concerning approximately 52% of the Issuer's shares currently in circulation, we communicate that today the Offeror received commitments to accept the Offer from an additional number of shareholders of the Issuer, including the remaining managers, representing approximately 17% of the Issuer's share capital.

Therefore, as of the date of this notice, the Offeror has received commitments to accept the Offer in respect of approximately 69% of the Issuer's share capital.
