LISTS FOR THE APPOINTMENT OF ALTERNATE AUDITORS FILED

Trieste, 29 March 2016 – With reference to the General Shareholders' Meeting of the Company to be held on 21 April 2016 (first call) and, if necessary, on 22 April 2016 (second call), Banca Generali S.p.A. announces that on 27 March 2016 two lists of candidates have been filed for the appointment of Alternate Auditors as per Item No. 5 on the Agenda, as follows:

List No. 1 filed by Assicurazioni Generali S.p.A. (holder of 50.484% of the share capital) Alternate Auditors

• 1. Maria Maddalena Gnudi
• 1. Alessandro Copparoni

List No. 2 field by several Undertakings for Collective Investment in Transferable Securities under the aegis of Assogestioni representing a total of 1.063% of the share capital

Alternate Auditors

1. Carlo Delladio

The documentation required by law, including inter alia the candidates' resumes, will be disclosed, along with the lists, and made available to the public at the Company's registered office in Trieste, Via Machiavelli 4, and its operating offices in Milan, Servizio Segreteria Societaria, Via Ugo Bassi 6. It will also be made available on the corporate website (www.bancagenerali.com) and on the website of Borsa Italiana S.p.A. (www.borsaitaliana.it), as well as through the authorised storage system as of 30 March 2016.
