Azimutstrengthens its presence in the US RIA space by partnering with Genesis Investment Advisors

Miami / Milan, 31 August 2020

Azimut, one of Europe's largest independent asset managers, via its US subsidiary AZ US Holdings Inc., signed an investment and shareholders agreement with Genesis Investment Advisors LLC ("Genesis") to start a partnership in the US financial advisory space. Following the transaction, the new entity will be renamed Azimut Genesis.

Genesis is a SEC Registered Investment Adviser headquartered in Coral Gables, Florida. Genesis was founded in 2000 and has been an independent RIA since 2005. It provides wealth management solutions to international and domestic customers, offering advisory services and platform access through some of the largest financial institutions in the US and around the world. Rodrigo C. Rego, CEO, is a founding partner at Genesis and has more than 30 years experience in financial markets, both in the US and in the Latam region. As of June 30, 2020, Genesis had total AUM of ca. \$400mn.

As part of the transaction Azimut will initially purchase 51% of Genesis's corporate capital from its existing shareholders and all parties will contribute capital to finance a mutually agreed business plan. The agreement also contains call/put option rights. Rodrigo Rego, Genesis' current CEO, will continue to grow the business over the medium‐long term together with Azimut. Closing of the transaction is subject to customary conditions precedent and is expected by September 2020.

The partnership increases Azimut's presence in the Latam-focused RIA space with a strong and dedicated financial advisory and distribution partner, and further confirms the Group's commitment in this segment after the greenfield initiative with AZ Apice in Miami in 2016. The two entities together now manage in excess of \$ 600 mn.

Azimut rafforza la sua presenza nel mercato americano della distribuzione siglando una partnership con Genesis Investment Advisors

Milano/Miami, 31 agosto 2020

Azimut, uno dei più grandi operatori indipendenti nel risparmio gestito in Europa, tramite la sua controllata americana AZ US HoldingsInc., ha firmato un accordo di investimento e patto parasociale con gli azionisti di GenesisInvestment Advisors LLC ("Genesis"), per avviare una partnership nel settore della consulenza finanziaria statunitense. Al completamento della transazione, la nuova entità verrà rinominata Azimut Genesis.

Genesis, fondata nel 2000 e indipendente dal 2005, è una società di distribuzione specializzata nella consulenza finanziaria con sede a Coral Gables, in Florida. Fornisce soluzioni di wealth management a clienti nazionali ed internazionali, offrendo anche l'accesso a piattaforme di investimento dalle più grandi istituzioni finanziarie statunitensi e mondiali. Rodrigo C. Rego, CEO di Genesis, è partner fondatore della società e vanta più di 30 anni di esperienza nei mercati finanziari, sia degli Stati Uniti che dell'America Latina. Al 30 giugno 2020, Genesis contava asset under management (AUM) totali per ca. \$ 400 milioni.

Nell'ambito dell'operazione Azimut acquisirà inizialmente il 51% del capitale sociale di Genesis, e le parti si impegneranno a finanziare il business plan concordato. L'accordo contiene anche diritti di opzione call / put. Rodrigo C. Rego continuerà ad operare per far crescere l'attività nel medio-lungo termine insieme ad Azimut. Il closing dell'operazione, al verificarsi di alcune condizioni sospensive, è previsto entro il mese di settembre 2020.

Grazie a questa partnership Azimut rafforza la sua presenza nel settore della distribuzione e della consulenza finanziaria in America, con un focus particolare ai clienti dell'America Latina, e conferma ulteriormente l'impegno del Gruppo in questo segmento dopo l'iniziativa greenfield avviata con AZ Apice a Miami nel 2016. Le due realtà insieme gestiscono complessivamente oltre \$ 600 milioni.
