AZ BRASIL HOLDINGS INCREASES ITS STAKE IN AZ LEGAN TO EXTRACT STRONGER SYNERGIES AND OPERATIONAL EFFICIENCES

Milan, 6 th November 2015

Azimut, Italy's leading independent asset manager, through AZ Brasil Holdings S.A. ("AZBH"), a Brazilian company (entirely owned by AZ International Holdings S.A.) dedicated to hold strategic participations in the region and the minority partners in AZ Legan ("AZL"), have signed today an agreement to anticipate the exercise of the option on the 42% capital owned by AZL partners using the same metrics applied in October 2013. Following the completion of the transaction, AZBH will own 92% of AZL with the remaining stake held bny AZL's minority partners.

On September 6, 2013 Azimut acquired 50% of AZL's capital to begin its Brazilan project focused on creating an integrated platform in the Brazilian asset management industry operating with local production and distribution. Legan was founded by 5 partners with proven experience in the Brazilian financial industry with an average tenure of 20 years and a strong track record. Legan's flagship fund, Legan Low Vol, has been constantly ranked among the best Brazilian funds in their categories by Standard & Poor's, Institutional Investor and Exame for many consecutive years.

The purchase of the remaining 42% stake in AZL will entail an acquisition from the founding partners for a cash consideration of around € 4mn, which will be recognised over the following 24 months. Azimut and Legan's current management team have agreed to continue to work together over the long term to grow the business in Brazil and accelerate the attainment of the business plan objectives. To this end, after experiencing a doubling of the AuM (currently at R\$ 980mn, equivalent to almost € 240mn, including R\$ 250mn invested in AZ Real Plus, a Luxembourg domiciled fund investing in Brazilian government bonds and monetary instruments with the advisory of AZL) since the announcement of the JV with Azimut, the partners have agreed to increase the integration even further in order to extract significant commercial synergies and operational efficiencies.

AZ BRASIL HOLDINGS AUMENTA LA QUOTA IN AZ LEGAN PER ESTRARRE MAGGIORI SINERGIE COMMERCIALI ED EFFICIENZE OPERATIVE

Azimut, il principale gruppo italiano indipendente nel risparmio gestito, attraverso AZ Brasil Holdings S.A. ("AZBH"), una holding di diritto brasiliano (interamente posseduta da AZ International Holdings S.A.) dedicata a detenere partecipazioni strategiche nella regione, ed i partner di minoranza di AZ Legan ("AZL"), hanno firmato oggi un accordo per anticipare l'esercizio dell'opzione sul 42% del capitale posseduto dai partner di AZL secondo gli stessi criteri già applicati nella transazione di ottobre 2013. Una volta completata l'operazione, AZBH deterrà il 92% del capitale mentre il restante resterà in mano ai partner di minoranza di AZL.

Il 6 settembre 2013, Azimut ha acquistato il 50% di AZL dando inizio al progetto dedicato a creare una piattaforma integrata nel settore del risparmio gestito in Brasile operando localmente sia lato produzione che lato distribuzione. Legan è stata fondata da 5 partner con affermate competenze nel settore finanziario brasiliano, un'esperienza media di vent'anni e un track record consolidato. Il fondo più rappresentativo di Legan, Legan Low Vol, è da diversi anni stabilmente posizionato tra i migliori fondi brasiliani nella sua categoria da Standard & Poor's, Institutional Investor e Exame .

L'acquisto del restante 42% in AZL comporterà un'acquisizione cash dai soci fondatori per un importo di ca. € 4mn, riconosciuto nell'arco dei prossimi 24 mesi. Azimut e l'attuale management di Legan hanno concordato di continuare a lavorare insieme per la crescita del business in Brasile ed accelerare il raggiungimento degli obbiettivi del business plan. A questo fine, dopo aver visto il raddoppio delle masse dall'annuncio della JV con Azimut (attualmente a R\$ 980mn, equivalente a ca. € 240mln, inclusi R\$ 250mln investiti in AZ Real Plus, un fondo domiciliato in Lussemburgo che investe in obbligazioni governative brasiliani e strumenti monetari con l'advisory di AZL), i partner hanno deciso di aumentare l'integrazione ancora di più per poter estrarre maggiori sinergie commerciali ed efficienze operative.
