Azimut Holding: valutazione requisiti di indipendenza

Milano, 5 maggio 2016

Si informa che in data odierna, sulla base delle dichiarazioni rese dagli Amministratori indipendenti e dai Sindaci, e delle informazioni a disposizione della società, il Consiglio, ai sensi dell'art. 144-novies, comma 1-bis del Regolamento Emittenti, ha valutato il possesso dei requisiti di indipendenza definiti dall'art.147-ter, quarto comma e 148, terzo comma del TUIF e dall'art.3 del Codice di Autodisciplina in capo ai suoi componenti, confermando integralmente quanto contenuto nelle predette dichiarazioni.

L'azionariato vede oltre 1400 fra gestori, promotori finanziari e dipendenti uniti in un patto di sindacato che controlla ca. il 14% della società. Il rimanente è flottante. Il Gruppo comprende diverse società attive nella promozione, nella gestione e nella distribuzione di prodotti finanziari e assicurativi, aventi sede in Italia, Lussemburgo, Irlanda, Cina (Hong Kong e Shanghai), Monaco, Svizzera, Singapore, Brasile, Messico, Taiwan, Cile, USA, Australia e Turchia. Azimut Holding: evaluation of independence criteria

Azimut Holding informs that today, based on the declarations provided by the independent directors and auditors, and on the information available to the company, the Board evaluated, pursuant to art. 144-novies, paragraph 1-bis of the Issuers Regulation, whether the directors and auditors met the criteria for independence envisaged by art. 147-ter, paragraph 4 and 148, paragraph 3 of the TUIF and art. 3 of the Voluntary Code of Conduct, and fully confirmed the aforementioned declarations.

Azimutis Italy's leading independent asset manager (active since 1989). The Parent Company Azimut Holding was listed on the Italianstock exchange on 7 July 2004 (AZM.MI) and, among others, is a member of the main Italian index FTSE MIB and of the Eurostoxx 600. The shareholder structure includes over 1,400 managers, employees and financial advisors, bound by a shareholders' agreement that controls ca. 14% of the company. The remaining is free float.
