Filing of the lists for the Board of Statutory Auditors
Milan, 4 April 2022
The shareholder Timone Fiduciaria Srl has filed a list of candidates for the election of the Board of Directors and Board of Auditors, on which the AGM will be asked to vote on as per the notice published on March 18th 2022 and available on the company's website www.azimut-group.com in the Investor Relations, AGM section.
Given only one list has been filed for the election of the Board of Statutory Auditors, pursuant to art. 144 sexies of the Consob regulation, other minority shareholders may file a list with half of 1% of share capital, following the terms as per point 2 of art 144-octies and point 5 of article 144-sexies of the Consob regulation, that is within the 6 th April 2022.
All of the above documentation will be filed at the company's registered office and Borsa Italiana SpA and will be available on the company website (www.azimut-group.com) 21 days prior to the AGM scheduled for April 28, 2022.

The main foreign companies are Azimut Investments SA (founded in Luxembourg in 1999), which manages the multi strategy funds AZ Fund 1 and AZ Multi Asset, and the Irish Azimut Life DAC, which offers life insurance products.

Deposito liste per la nomina del Collegio Sindacale

Si comunica che l'azionista Timone Fiduciaria Srl ha depositato una lista di candidati per la nomina del Consiglio di Amministrazione, nonché una lista di candidati per la nomina del Collegio Sindacale, su cui sarà chiamata a deliberare l'assemblea dei soci, come da avviso pubblicato in data 18 marzo 2022 reperibile sul sito internet www.azimut-group.com nella sezione Investor Relations, Assemblea.
Si rende noto che, essendo quindi stata depositata una sola lista per la nomina del Collegio Sindacale, ai sensi dell'articolo 144-sexies del Regolamento Emittenti Consob, potranno essere depositate liste di minoranza da parte degli azionisti che risultino titolari di una partecipazione pari alla metà del 1%, nei termini di cui al punto 2 dell'art. 144-octies e punto 5 dell'art. 144-sexies del citato Regolamento Emittenti Consob ovvero, entro il 6 Aprile 2022.
Tutta la documentazione sopra citata redatta ai sensi di legge e di statuto e corredata della documentazione prescritta, sarà depositata presso la sede legale e Borsa Italiana S.p.A. e consultabile sul sito internet della Società (www.azimut-group.com) nei ventuno giorni precedenti l'assemblea fissata per il 28 aprile 2022.
