ASX ANNOUNCEMENT
TYRIAN LICENSES DIAGNOSTIC TECHNOLOGY TO AGENIX FOR DEVELOPMENT OF HUMAN DIAGNOSTICS
SYDNEY, Australia 25 October, 2012: TYRIAN DIAGNOSTICS Limited (“Tyrian”) (ASX: TDX) announced today an agreement with Australian company Agenix Limited (“Agenix”) to license to it certain of Tyrian’s diagnostic technology, for application in the development of medical diagnostics.
Under the terms of the agreement, Agenix will acquire exclusive world-wide rights to the human health application for Tyrian’s DiagnostIQ device. In consideration, Agenix will issue Tyrian with Agenix shares to a value of $0.5 million, to be issued in instalments over coming months up to June 2014. The deal is subject to any required approval from Agenix shareholders.
Tyrian and Agenix have also agreed in principle to the transfer to Agenix of Tyrian intellectual property for the detection of active TB, using protein-based (antibody) tests. This will be finalised as an extension to the DiagnostIQ licence agreement and is expected to be completed in the next few weeks.
Tyrian Chairman, Roger Amos, noted that the licence to Agenix is part of continued efforts by Tyrian to monetise its diagnostic testing assets following the recent company restructuring, and follows a 2011 licence to SpeeDx Pty Ltd for active TB testing approaches outside of the antibody field.
Nick Weston, CEO of Agenix, said “This acquisition advances the product pipeline of Agenix and adds to its human health diagnostics business. Agenix now has a platform for human health array and micro-array technology developers globally, as well as a medical device product for its expanding China business.”
About Tyrian
Tyrian Diagnostics is a diagnostics company which has discovered and validated novel biomarkers for tuberculosis and developed a proprietary diagnostics platform, DiagnostIQ. DiagnostIQ is a simple disposable device for rapid diagnostic testing in the doctor’s surgery or at the bedside. The company announced a restructuring in August, 2011 and is currently focused on licensing and sale of its assets. As noted above, licensing of TB diagnostic assets is now well advanced towards completion. Tyrian continues to engage in discussions with additional potential licensees of its DiagnostIQ diagnostic platform and is exploring future directions for the company through its advisor, TC Corporate.
