Completion of Share Purchase Plan

Dear Sir/Madam

ASF Group Limited (ASX: AFA) ( Company ) advises that the share purchase plan described in the Offer Booklet dated 10 January 2019 ( SPP ) closed at 5.00pm (Sydney time) on 1February 2019.

The Company has accepted all valid applications received and will issue 3,862,500 ordinary shares at an issue price of A$0.08 per share, raising A$309,000 under the SPP.

All new shares for the SPP will be issued on or before 8 February 2019 and the holding statements for these new shares will be despatched on 11 February 2019.

Together with the $9 million share placement ( Placement ) announced on 25 January 2019, the Company raised a total of A$9,309,000 (before expenses) under the SPP and Placement.

The directors of the Company wish to thank all shareholders who participated in the SPP and Placement.
