ASF SELLS ITS REMAINING INTEREST IN ASFTA

ASF Group Limited (“ASF”) is pleased to announce that it has executed a Share Transfer Agreement with (“Agreement”) with Crystal Profit Ventures Ltd (“CPV”) pursuant to which CPV agreed to purchase 62% of the issued shares of ASF Technologies (Australia) Pty Ltd (“ASFTA”) held by ASF (its remaining interest) at a cash consideration of $0.465 million.

ASFTA is currently held as to 62% by ASF and 38% by CPV. Other than the holding of 38% interest in ASFTA, CPV is not a related party as defined under the Listing Rules. Upon completion of the transaction, ASFTA will be 100% owned by CPV (and ASFTA's name will be changed).

ASFTA is a holder of Scotch Yoke engine patents registered in the US, Europe and Australia with another patents under registration. The Scotch Yoke mechanisms give the engine advantages in weight, length, width, height, vibration and emissions over other conventional engines in its class.
