ACTIVEX WELCOMES PLACEMENT TO CORNERSTONE INVESTOR

ActivEX Limited ( ASX: AIV ) is pleased to announce cornerstone investor, ASF Group Limited, an ASX listed company ( ASX: AFA ) has signed a subscription agreement to lift its holding to 19.9% through a private placement of shares. The placement of shares is subject to shareholder approval at the Company’s Annual General Meeting to be held on 16 November 2012.

ActivEX Managing Director Mr Doug Young, announcing the placement today said “The ASF Group Limited has shown considerable support as cornerstone investor, once again taking share placement at a premium to the market.”

Placement

Subject to shareholder approval at the Company’s Annual General Meeting, the Company will issue 23,926,951 new fully paid ordinary shares ( Placement Shares ) to ASF at an issue price of 2.0 cents per share, to raise gross proceeds of $478,539.02 ( Placement ).

The issue price is at a healthy premium to recent trading. On subscription, ASF will be entitled to nominate 1 additional director to the Board of Directors of the Company, provided that this entitlement will cease if the ASF shareholding reduces below 15% for whatever reason.

Use of funds

Funds raised from the Placement will be used for working capital but principally used to advance exploration drilling at the Company’s Barambah high grade gold-silver deposit northwest of Gympie and to advance work at the Selwyn East project in the Cloncurry district.
