A.S. Création plans to take over two leading French wallpaper wholesalers

A.S. Création Tapeten AG, Europe’s leading wallpaper manufacturer, is in
negotiations about the takeover of SCE - Société de conception et d’édition
S.A., Boves/France, and of MCF Investissements S.A., Ballancourt sur
Essonne/France. The negotiations are at a well advanced stage.

Consolidated sales of roughly EUR 43 million in 2007 make SCE and MCF the
leading French wallpaper wholesalers. Between them, both companies employ
about 90 people.

France is the largest wallpaper market in Western Europe. A.S. Création
already has its own distribution company, A.S. Création (France) S.A.S.,
Lyon, in this important output market. A.S. Création is convinced that the
customer structures of A.S. Création, SCE and MCF ideally complement each
other, which means that the takeover would clearly strengthen A.S.
Création’s market position in France. The companies will retain their own
brand identities after the takeover.

A.S. Création Tapeten AG plans to acquire 100% of the shares in SCE and MCF
in two steps by the year 2011. Due diligence has been completed, and the
details of the takeover are currently being negotiated. A legally binding
contract is to be signed in December 2008.
