Change on the Supervisory Board

The Annual General Meeting of Shareholders of A.S. Création Tapeten AG, Europe’s leading wallpaper manufacturer, today elected Jochen Müller, member of the Management Board of LSG Lufthansa Service Holding AG, new member of the Supervisory Board with over 99% of the votes. Mr Müller will succeed Dr. Schadt, who has resigned from office with effect from the end of today’s AGM for reasons of age after having served on the Supervisory Board of A.S. Création for eight years. The Chairman of the Supervisory Board, Mr Schneider, honoured the great contribution made by Dr. Schadt to the development of A.S. Création and thanked him for the good cooperation. At the same time, Mr Schneider expressed his conviction that Mr Müller will be a good successor, who will be able to provide A.S. Création with important stimulation building on his entrepreneurial experience outside the wallpaper industry.

In keeping with the company’s dividend policy, which provides for a high payout ratio as long as this is warranted by the company’s financial situation, the Managing Board and the Supervisory Board had proposed a dividend of EUR 0.25 per share. This is equivalent to a payout ratio of 52.1% in terms of consolidated earnings per share. Due to the poorer earnings position in the fiscal year 2013, however, this dividend proposal was EUR 0.95 or approx. 79% below the prior year dividend of EUR 1.20. This profit appropriation proposal was approved by over 99% of the voting shareholders. The Managing Board is of the opinion that this vote reflects the long-term orientation of the shareholders of A.S. Création, who are committed to the benefit of the company.

The Annual General Meeting of Shareholders thanked all employees of A.S. Création for their commitment in the past fiscal year. The Managing Board and the Supervisory Board were released from liability for the past fiscal year by a large majority of the shareholders.
