Dear Sir / Madam,
This is further to our letter dated 13[th] February, 2024, intimating that the Board of Directors of the Company had approved appointment of Mr. Prashant Sushilchandra Mehta & Mrs. Barkharani Harsh Nevatia, as an Independent Director of the Company, subject to the approval of the Members. It is hereby informed that the Board has decided to seek the consent of the Members of the Company by way of Special Resolution through Postal Ballot process for appointment of Mr. Prashant Sushilchandra Mehta & Mrs. Barkharani Harsh Nevatia, as an Independent Director of the Company for a term of five consecutive years.
The Members, whose names appear in the Register of Members/ List of Beneficial Owners as on Friday, February 23, 2024 being the cut-off date are entitled to vote on the Resolution set forth in the Notice.
The Board has appointed Mr. Rajendra Vaze, of M/S. Rajendra & Co.(Membership No. – F-4247 & COP No. 1975), as the Scrutinizer for conducting the said Postal Ballot process.
The Tentative Calendar of Events for the Postal Ballot process is attached for your reference.
