In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors have passed a circular resolution on July 14, 2020, approving appointment of Ms. Jigisha Patel (DIN: 01899528) as an "Additional Director (Non‐Executive Non Independent Woman Director)" on the Board of Directors of the Company with effect from July 14, 2020, subject to approval of the Shareholders of the Company.
Mrs. Jigisha Patel will be a Non‐Executive, Non Independent Woman Director; she is related to the Promoter or Promoter Group.
Further, this is to confirm that Mrs. Jigisha Patel is not debarred from holding the office of Director by virtue of any order of the Securities and Exchange Board of India (SEBI) or any other such authority.
Disclosure required pursuant to Regulation 30 of the Listing Regulations read with Para A of Part A of Schedule III to the Listing Regulations read with the SEBI Circular having reference no.
