Subject: Request for Reclassification from Promoter Group" Category to "Public" Category

Dear Sir/Madam,

I, Mr. Utpal Sheth, am presently classified under the Promoter Group" category of Aptech Limited and hold 1.57% of the paid-up equity share capital of the Company.

I wish to inform that my shareholding in the Company is in the nature of an investment and does not confer upon me any control or influence over the affairs of the Company. Further, I am not involved in the management or day-to-day operations of the Company and do not have any role in its decision-making process. Accordingly, my classification as part of the "Promoter/Promoter Group" is no longer appropriate.

In this regard, I hereby request the Company to reclassify my status from the "Promoter/Promoter Group" category to the "Public" category in accordance with Regulation 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

I confirm that:

• I do not hold more than ten percent of the total voting rights in the Company.
• I do not exercise any control over the affairs of the Company, either directly or indirectly.
• I do not have any special rights through formal or informal arrangements with the Company or its promoters.
• I am not involved in the management of the Company in any capacity.
• I am not a Key Managerial Personnel of the Company.
• I am not represented on the Board of Directors of the Company.
• I do not have any direct or indirect influence over the decision-making of the Company.
• I shall not, directly or indirectly, exercise control over the Company after reclassification.
• I satisfy all the conditions specified under Regulation 31A of SEBI (LODR) Regulations, 2015 for reclassification.
• I am not wilful defaulters as per the Reserve Bank of India Guidelines.

I further undertake to comply with all applicable conditions specified under the aforesaid regulations post reclassification.

I request the Board of Directors of Aptech Limited to take appropriate steps in accordance with laws to Re-Classify my name and my shareholding from 'Promoters Group' to 'Public' Category and deletion of my names as 'Promoter Group' of Aptech Limited.
