Item 8.01 Other Events.

ALT5 Sigma Corporation (the “ Company ”) has not completed its review and reporting of its financial results for the quarter ended September 27, 2025. Accordingly, the Company will not be filing its Quarterly Report on Form 10-Q for that quarter timely. The delay is a result of several factors, including those previously disclosed. The Company will update its stockholders at such time as it has further information with respect to filing its 2025 third-quarter financial results and previously issued financial statements, as applicable.
