Aker Solutions ASA: Sale of Own Shares for Employee Share Purchase Program

September 20, 2021 - Aker Solutions ASA ("Aker Solutions") has sold own shares

in connection with the company's employee share purchase program for 2021.

In the stock exchange release of June 28, 2021, Aker Solutions announced

execution of the employee share purchase program for 2021. Under the program,

Employees of the company in Norway were entitled to purchase shares of Aker

Solutions for an amount up to NOK 60,000. Shares were offered at a maximum

discount of NOK 7,500 (discount not to exceed 25% of the subscription amount)

per participant for the entire 2021 program. Shares to participants are

allocated quarterly; in June, September and December 2021.

Under the September 2021 allocation, executed today, Aker Solutions has sold a

total of 835,234 shares to program participants. The shares were sold at a price

per share (excluding any applicable discount) of NOK 17.6103 which equals the

volume-weighted average price of the Aker Solutions share on Euronext Oslo Børs

over the period from and including September 13, 2021 to and including September

17, 2021.

Following these transactions, Aker Solutions has a holding of 7,168,975 own

shares.
