As per the terms of the incentive program, the number of shares allocated is based on a fixed bonus amount for 2019 which on 30 April 2020 was calculated into a number of shares of Kværner ASA based on the volume weighted average share price for KVAER at Oslo Børs at the time; NOK 6.42 per Kværner ASA share, such shares subject for allocation in May 2022 to eligible participants under the incentive program. The relevant number of shares of Kværner ASA has been calculated into shares of Aker Solutions ASA based on the exchange ratio under the merger of the companies in November 2020. In accordance with the terms of the incentive program, the applicable value of each share received equals the volume-weighted average price of the Aker Solutions ASA share on Euronext Oslo Børs on the trading day before date of allocation, i.e. May 19, 2022 (NOK 32.0513 per share)
