AF Gruppen ASA: Publication of information document

With reference to the extended notice to the stock exchange issued by AF Gruppen ASA on 19 August 2019 concerning the acquisition of Betonmast AS (the "Transaction"). Pursuant to clause 3.5 in ongoing obligations for listed companies, AF Gruppen ASA has prepared an information document related to the Transaction. The information document was approved by Oslo Stock Exchange on 30 September 2019. A copy of the information document is enclosed and is also available from AF Gruppen ASA’s website, www.afgruppen.no. The information document enclosed is in Norwegian. Please see page 57-64 for a short summary in English.

BetonmastHæhre held its annual general meeting on 16 September 2019, and 100 % of the shares represented at the general meeting voted in favour of the Transaction.

The Transaction was, as mentioned in the notice to the stock exchange on 19 August 2019, also conditional upon a limited due diligence and approval by the competition authorities. Due diligence has been carried out, and both the Norwegian and Swedish competition authorities have approved the Transaction.

It is expected that the Transaction will be completed during October 2019.
